Hangtag Application Requirements

To provide added promotional value for partner brands, Zhongding offers free yarn hangtags to brand clients who meet the following criteria:

(a) Minimum Order Quantity

A minimum of 50 kg of yarn per order is required. Each order is eligible for only one hangtag application.

(b) Quantity of Hangtags

Up to 4 hangtags can be requested per 1 kg of yarn ordered. If more hangtags are needed, please indicate the reason in the remarks section of the online application form. Zhongding will assess requests on a case-by-case basis.

(c) Yarn Content Requirement

The final garment or knit product must contain at least 50% Zhongding yarn.

(d) Brand Authorisation Agreement

Applicants must agree to and sign Zhongding’s Trademark Licensing Agreement.

Zhongding Trademark Licensing Agreement

Zhongding Trademark Licensing Agreement

To use Zhongding trademarks or related company information, brands must sign the Trademark Licensing Agreement outlined below. This agreement protects Zhongding rights and ensures proper use of its hangtags.

1. Eligibility Requirements:

a) Minimum Order Quantity?The minimum yarn order quantity per order is 50 kilograms. Each order is eligible for one hangtag application only.

b) Hangtag Allocation?For every kilogram of yarn purchased, a maximum of 4 hangtags can be requested.?If additional hangtags are required, a justification must be provided in the remarks section of the online application form and approved by Zhongding.

c) Yarn Composition?Garments and knitted products must contain at least 50% Zhongding yarn to reflect the brand’s quality, natural luxury, and commitment to sustainability.b) Hangtag Allocation?For every kilogram of yarn purchased, a maximum of 4 hangtags can be requested.?If additional hangtags are required, a justification must be provided in the remarks section of the online application form and approved by Zhongding.

d) Trademark Licensing Agreement?Applicants must agree to and sign the Zhongding Trademark Licensing Agreement and comply with its terms.

2. Usage Guidelines:

a) Authorization Scope?Approved hangtags may only be used for authorized products that meet the above criteria. All usage must comply with Zhongding’s specifications. Hangtags are exclusive to the licensee and cannot be transferred, sold, or licensed to third parties.

b) Liability for Misuse?Improper use, including unauthorized transfer or licensing to third parties, that causes damage to Zhongding’s brand or trademark rights (e.g., direct losses, indirect losses, or reputational harm), will result in full liability for the applicant, who must also compensate Zhongding accordingly.

3. Modification and Distribution:

Without written consent from Zhongding, applicants are prohibited from altering, reproducing, distributing, publishing, selling, transferring, or licensing Zhongding hangtags. Hangtags may not be used for unauthorized products or purposes.

4. Brand Reputation and Quality Assurance:

a) Trademark Usage?All marketing and promotional materials featuring Zhongding trademarks or hangtags must comply with Zhongding’s usage standards and brand guidelines, regardless of format or medium (e.g., advertisements, printed materials, websites, social media, etc.).

b) Product Quality?Licensees must ensure that all products bearing Zhongding hangtags meet Zhongding’s quality standards. Products associated with Zhongding trademarks must maintain consistent high quality in the market to safeguard the brand’s reputation.

5. Legal Responsibility:

a) Third-Party Claims?Zhongding will not be held responsible for any third-party claims arising from the promotion, sale, or use of products or hangtags (e.g., lawsuits or compensation due to quality issues or trademark infringement). Applicants must bear all related legal liabilities and expenses.

b) Compensation?If Zhongding suffers any loss due to improper use of hangtags or trademarks by the applicant or associated parties (e.g., reputational damage, trademark infringement), the applicant must compensate Zhongding for all direct and indirect losses as required.

6. Agreement Terms and Governing Law:

a) Language Version?In the event of discrepancies between the Simplified Chinese and English versions of this agreement, the English version shall prevail.

b) Governing Law?This agreement is governed by the laws of the People’s Republic of China. Disputes not resolved through mutual agreement will be submitted to the local court where Zhongding is registered.

7. Dispute Resolution and Final Authority:

Any disputes arising during the execution of this agreement should first be resolved through amicable negotiation. If unresolved, Zhongding reserves the right to make the final decision and may pursue legal action.
